Andrea Cataneo is an entrepreneurial corporate and securities attorney and partner with Sheppard Mullin Richter & Hampton LLP, an AmLaw 100 International law firm. Andrea structures secured and unsecured private equity financing transactions for microcap companies, and takes private companies public via self-registration statements, mergers into operating or dormant public entities and IPOs. Additionally, through her extensive relationships in the investment banking community, Andrea offers her clients introductions to targeted sources of capital. She represents publicly-held companies with their 1934 Act reporting obligations to the SEC, as well as with NASDAQ, NYSE-MKT and other exchange listing and compliance matters, and private companies in capital formation matters (Regulation A+ and Regulation D private offerings and more recently, domestic and international regulated digital asset sales, token pre-sales and ICOs. Her practice covers US and cross-border transactions, and she has been active in Argentina, Canada, China, Italy, Kenya, Korea and Russia.
Prior to joining the firm, Andrea served as the first woman partner to Sichenzia Ross Friedman Ference (now SRF) that grew to be a 60 lawyer firm over her course of 13 years with the firm, and ranked #1 in the league tables for 12 consecutive years as issuer’s counsel in PIPE transactions. Her practice focused on Securities Law, Corporate Finance, General Corporate Law, Mergers and Acquisitions and Entertainment Law. Previously, she served as General Counsel to Power Station Entertainment, Inc. and the highly acclaimed Power Station Recording Studio.
Andrea received her J.D. 1996 from Rutgers University School of Law (Newark, New Jersey), where she was Editor-in Chief of the Women’s Rights Law Reporter, and served as legal intern to the honorable William G. Bassler in the Federal District Court of New Jersey in Newark. She received a B.A. in Political Science in 1992, summa cum laude, from Fairleigh Dickinson University in New Jersey, and was named the Mennen Scholar for academic excellence and leadership performance.

Update on state and Federal regulatory reactions to the 2018 Farm Bill's removal of CBD from Schedule 1 of the Controlled Substance Act. Welcomed news for many companies, but there is much left in the grey area, with the FDA imposing oversight and threatened enforcement (by October of 2019) for any company selling a CBD ingestible product without a showing of that product's safety for human consumption. This writer has great expections of pioneers pushing the envelope to promote change and ultimate acceptance.
